PROGRAMMER TERMS & CONDITIONS

1. Christian Identity And Programming Philosophy

Heartbeat Christian TV is a Christian television network whose programming philosophy is guided by Philippians 4:8.

“Finally, brethren, whatsoever things are true, whatsoever things are honest, whatsoever things are just, whatsoever things are pure, whatsoever things are lovely, whatsoever things are of good report; if there be any virtue, and if there be any praise, think on these things.”

Philippians 4:8 (KJV)

Heartbeat Christian TV seeks programming consistent with Christian principles and reserves editorial discretion over all programming carried by the network.

Heartbeat Christian TV is not intended to be exclusively a preaching or ministry network. Programming may include Christian news and conversation, gospel music, family and lifestyle programming, documentaries, entertainment, interviews, original productions, biblical teaching, and other suitable content.

2. Programmer Christian Faith Requirement

Programmers applying for an ongoing programming relationship with Heartbeat Christian TV must sincerely profess Jesus Christ as Lord and Savior and strive to live according to the teachings and principles of the Holy Bible.

The Programmer Application will require:

• Affirmation of Christian faith
• Acknowledgment of Jesus Christ as Lord and Savior
• A personal written testimony of faith

Submission of false or materially misleading information regarding these representations may be grounds for rejection or termination.

This requirement applies to the programmer or responsible party seeking the programming relationship.

It does NOT mean that every individual appearing in documentaries, interviews, news coverage, or other appropriate programming must personally make the same profession of faith.

3. Content Review And Editorial Approval

All programming is subject to review and approval by Heartbeat Christian TV.

Acceptance of a programmer does not constitute automatic approval of every program or episode subsequently submitted.

Approval of one episode does not guarantee approval of future episodes.

Payment for airtime does not require Heartbeat Christian TV to broadcast material that violates its programming standards.

Heartbeat Christian TV retains final editorial discretion regarding content distributed through its network and platforms.

4. Prohibited Or Restricted Content

Heartbeat Christian TV may reject or remove content inconsistent with its Christian mission or programming standards.

Content that may be rejected includes, but is not necessarily limited to:

• Pornography, nudity, sexually explicit material, or sexually exploitative content
• Profane, obscene, or vulgar material
• Graphic or gratuitous violence
• Content promoting illegal activity
• Content promoting occult practices, witchcraft, or spiritual practices inconsistent with Heartbeat Christian TV's Christian identity
• Material that promotes hatred or unlawful discrimination
• Fraudulent, deceptive, or knowingly false claims
• Content that unlawfully infringes copyright, trademark, privacy, publicity, or other rights
• Unauthorized copyrighted music, video, photographs, graphics, recordings, or other protected material
• Content that Heartbeat Christian TV reasonably determines is inconsistent with its Christian programming mission or published standards

5. Ownership, Copyright And Authorization

By submitting any program, episode, advertisement, promotional material, music, video, photograph, graphic, recording, or other content for broadcast or distribution by Heartbeat Christian TV, Programmer represents and warrants that Programmer either:

(a) owns all rights necessary to use and distribute such material; OR

(b) has obtained express written permission, licenses, releases, or other authorization from the applicable rights holder(s) sufficient to permit its use and distribution by Heartbeat Christian TV.

Programmer shall maintain documentation establishing such ownership or authorization.

UPON REQUEST BY HEARTBEAT CHRISTIAN TV, PROGRAMMER SHALL PROVIDE SATISFACTORY WRITTEN PROOF OF SUCH OWNERSHIP, PERMISSION, LICENSE, RELEASE, OR AUTHORIZATION WITHIN TWENTY-FOUR (24) HOURS OF THE REQUEST.

Failure to provide satisfactory documentation within the required 24-hour period may result in immediate suspension or removal of the affected content from broadcast, video-on-demand, and any other Heartbeat Christian TV distribution platform until satisfactory documentation is provided.

Heartbeat Christian TV's acceptance, review, scheduling, broadcast, or distribution of content does not constitute Heartbeat Christian TV's determination or representation that such content is free from copyright, trademark, publicity-right, privacy-right, licensing, or other third-party claims.

The Programmer remains solely responsible for obtaining and maintaining all necessary rights and permissions.

6. Program Runtime

The following HARD MAXIMUM runtimes apply:

30-minute time slot:
Maximum program runtime = 28:00

60-minute time slot:
Maximum program runtime = 55:00

The remaining airtime belongs to Heartbeat Christian TV for station/network identification, advertising, promotions, announcements, and other network content.

Programs exceeding the permitted runtime may be rejected and returned to the programmer for correction.

Heartbeat Christian TV is not obligated to edit a programmer's content to make it fit the allotted time.

7. Technical Delivery

Programmers must comply with Heartbeat Christian TV's current Technical Delivery Specifications.

These specifications may include:

• Video format
• Resolution
• Audio requirements
• File naming
• Delivery method
• Delivery deadlines
• Artwork and thumbnail requirements
• Other reasonable broadcast technical standards

Final Technical Delivery Specifications will be established separately.

8. Airtime And Scheduling

Heartbeat Christian TV retains control of its programming schedule.

Requested or initially assigned airtimes are subject to the Programmer Airtime Agreement and these Terms & Conditions.

Heartbeat may make reasonable temporary scheduling changes for live programming, special programming, technical circumstances, emergencies, or other legitimate broadcast requirements.

9. Founding / Introductory Programmer Rates

Heartbeat Christian TV's introductory rates are intentionally priced unusually low to help build a full and diverse programming schedule as quickly and efficiently as possible.

Programmers receiving introductory pricing acknowledge that a specific broadcast time slot is not guaranteed to remain available at the introductory rate throughout the entire contractual term.

If Heartbeat Christian TV receives a bona fide request from another programmer willing to pay a higher rate for an existing programmer's specific broadcast time slot, the current programmer will be given the FIRST RIGHT OF REFUSAL to retain that time slot by accepting the increased rate.

If the current programmer declines the increased rate, Heartbeat Christian TV WILL terminate the programmer's rights to the affected time slot upon thirty (30) days' written notice.

If suitable alternative airtime is available, Heartbeat Christian TV MAY offer the existing programmer another time slot at the existing rate.

Heartbeat Christian TV is not obligated to provide an alternative time slot unless otherwise agreed in writing.

10. Agreement Term

The standard initial Programmer Airtime Agreement will require a six (6) month commitment unless Heartbeat Christian TV expressly agrees otherwise in writing.

Specific airtime, pricing, start date, and other individual business terms will be stated in the Programmer Airtime Agreement.

Submitting a Programmer Application does not itself create an airtime agreement, guarantee acceptance, guarantee a time slot, or obligate Heartbeat Christian TV to accept the applicant. An airtime agreement begins only after approval and execution of the separate Programmer Airtime Agreement.

11. Automatic Payment

Programmers must maintain an approved automatic recurring payment method throughout the contractual term.

Heartbeat Christian TV intends to collect scheduled airtime payments automatically rather than rely upon programmers to manually submit monthly payments.

The exact payment processing schedule will be stated in the Programmer Airtime Agreement and/or applicable billing authorization.

All electronic payments under the Programmer Airtime Agreement are subject to a five percent (5%) payment processing fee in addition to the applicable programming charge.

12. Failed Payments / Grace Period

Heartbeat Christian TV will attempt to collect scheduled payments automatically and will provide notice of a failed payment.

If an automatic payment fails for a qualifying reason, the Programmer has seven (7) calendar days from the failed payment to bring the account current.

Programming may be suspended upon payment failure and shall remain suspended until all amounts due have been successfully paid and cleared.

More than one qualifying payment failure during any six (6) month contractual term shall result in immediate cancellation of the Programmer Airtime Agreement and removal of the Programmer's programming from Heartbeat Christian TV without an additional grace period.

A technical failure attributable solely to Heartbeat Christian TV or its designated payment processor will not be treated as a qualifying Programmer payment failure.

If payment is not successfully received by the required deadline, Heartbeat Christian TV may release the airtime to another programmer. Payment after a slot has been released does not guarantee restoration of the former broadcast time.

13. Content Retention And Deletion

Programmers are responsible for maintaining their own original and backup copies of all programming supplied to Heartbeat Christian TV.

Heartbeat Christian TV is NOT a permanent file-storage or archival service.

Following expiration, suspension, or termination of a programming relationship, Heartbeat may remove the programmer's material from broadcast and VOD systems.

Heartbeat may permanently delete uploaded programmer files following the applicable retention period.

Content retention period:

Heartbeat Christian TV has no obligation to provide replacement copies of files after deletion.

14. Video-On-Demand

Linear broadcast airtime and video-on-demand distribution are separate rights.

Acceptance of a program for linear broadcast does not automatically guarantee indefinite VOD distribution.

VOD availability, duration, pricing, and rights may be established separately by Heartbeat Christian TV.

15. Programmer Advertising And Sponsorships

Advertising, sponsorship acknowledgments, fundraising appeals, product promotions, and other commercial material contained within programmer-supplied programming must comply with Heartbeat Christian TV policies.

The programmer's purchase of airtime does not give the programmer ownership or control over the network advertising inventory reserved by Heartbeat Christian TV.

16. Heartbeat Commercial Inventory

For 30-minute slots, Heartbeat retains the remaining two (2) minutes after the maximum 28:00 programmer runtime.

For 60-minute slots, Heartbeat retains the remaining five (5) minutes after the maximum 55:00 programmer runtime.

Heartbeat may use this inventory for:

• Network identification
• Commercial advertising
• Heartbeat promotions
• Public service or network announcements
• Promotional content
• Other Heartbeat Christian TV purposes

17. No Audience Or Results Guarantee

Purchasing airtime provides access to Heartbeat Christian TV's distribution system.

Heartbeat Christian TV does not guarantee any specific:

• Audience size
• Number of viewers
• Impressions
• Website visits
• Donations
• Leads
• Sales
• Customers
• Revenue
• Other measurable result

18. Suspension And Termination

Heartbeat Christian TV may suspend or terminate programming for reasons including:

• Material violation of Programming Standards
• Copyright or other rights violations
• Failure to provide requested rights documentation within 24 hours
• Material misrepresentation during the application process
• Failure to pay amounts due
• Repeated technical violations
• Material breach of the Programmer Airtime Agreement
• Material breach of these Terms & Conditions

Specific notice, cure, refund, and contractual consequences will be governed by the signed Programmer Airtime Agreement and these Terms & Conditions.

RELEASED AIRTIME

Upon suspension or termination for nonpayment, copyright/intellectual-property violation, violation of Programming Standards or content restrictions, breach of agreement, or other authorized grounds, the Programmer's rights to the affected airtime cease.

Heartbeat Christian TV may fill, reassign, sell, program, or otherwise use released airtime with programming or content Heartbeat Christian TV deems appropriate, subject to applicable law.

The former Programmer has no continuing right or claim to the released time slot.

19. Programmer Responsibility

The programmer is responsible for:

• Accuracy of submitted information
• Content supplied to Heartbeat
• Required copyright and licensing permissions
• Technical compliance
• Timely delivery
• Maintaining valid payment information
• Maintaining original backup copies
• Compliance with the signed Programmer Airtime Agreement
• Compliance with these Terms & Conditions

20. Terms Incorporated Into Programmer Agreement

These Programmer Terms & Conditions are incorporated by reference into each Programmer Airtime Agreement.

The applicable version/effective date should be documented when the Programmer Airtime Agreement is executed.

Material contractual obligations for existing programmers will not be silently changed without appropriate notice or contractual/legal authority.
